Acceptance of Terms of Use

The following terms and conditions between you and Katalyst Inc., a Washington corporation (the “Company“, “we“, “us” and their derivatives), together with any documents they incorporate by reference (collectively, the “Terms of Use“), govern your relationship with the Company, including (a) your access to and use of our website, available at www.katalyst-fitness.com, and its subdomains, including any content, functionality, and services offered on or through such website (the “Website“); (b) your access to and use of the electric muscle stimulation training services that are made available by the Company (the “Katalyst Training Services“); and (c) the purchase of any merchandise or other goods from us through the Website.

By (a) using the Website, (b) commencing the Signup Process (defined below under the heading “Eligibility for Services”), (c) purchasing any merchandise or other goods from us through the Website, or (d) signifying that you accept and agree to the Terms of Use in some other manner as permitted and made available to you by us (e.g., via DocuSign, manual signature or by clicking “accept and agree to”), you accept and agree to be bound and abide by these Terms of Use and the Katalyst Training Privacy Policy, available here (the “Privacy Policy”), which is incorporated into these Terms of Use by reference. Please read the Terms of Use carefully before doing any of the foregoing. If you do not want to agree to the Terms of Use and/or the Privacy Policy, do not use the Website, begin the Signup Process, purchase any merchandise or other goods from us through the Website, or otherwise signify that you accept and agree to the Terms of Use.

Eligibility for Services

A user must be 13 years of age or older and reside in the United States or any of its territories or possessions to be eligible to use the Website or purchase merchandise or other goods from us through the Website. A user must be 18 years of age or older and reside in the United States or any of its territories or possessions to be eligible to use the Katalyst Training Services. Additional restrictions apply: the Katalyst Training Services are available only to individuals who have (a) been given an opportunity and acknowledged that they have received such opportunity to review the health information that we have provided related to the risks and dangers of strenuous exercise (the “Health-Related Materials“), (b) executed a waiver in the form provided to you by us, which is incorporated by reference herein (each a “Waiver“), (c) executed any applicable Additional Terms of Purchase (defined below under the heading “Online Purchases and Other Terms and Conditions; Waiver” below), and (d) accepted and agreed to the Terms of Use (collectively, the “Signup Process“). Any discrepancies between the Waiver, the Terms of Use, the Privacy Policy, and/or any Additional Terms of Purchase will be resolved in accordance with the terms stated under the heading “Order of Precedence” below. By using this Website, using the Katalyst Training Services, or purchasing any merchandise or other goods from us, you represent and warrant that you are of legal age in the state in which you reside to form a binding contract with the Company and that you meet all of the foregoing eligibility requirements. If you do not meet all applicable requirements, you must not use the Website, sign up for the Katalyst Training Services, or purchase any merchandise or other goods from us.

Changes to the Terms of Use

We may revise and update these Terms of Use from time to time in our sole discretion. All changes are effective immediately when we post them, and apply to all access to and use of the Website, the Katalyst Training Services, purchases of merchandise or other goods through our Website and any other aspect of your relationship with the Company. However, we will use commercially reasonable efforts to notify you using the email address you have provided us, where applicable, of any changes to the Terms of Use that affect (a) our refund policy for Katalyst Training Services purchased by you, (b) how you pay for the Katalyst Training Services, (c) how we provide the Katalyst Training Services or (d) any new eligibility requirements for use of the Katalyst Training Services. In addition, any changes to the dispute resolution provisions set out under the headings “Governing Law and Jurisdiction” and “Arbitration” will not apply to any disputes for which you or we have actual notice on or before the earlier of the date the change is posted on the Website or we send you an email.

Your continued use of the Website (including through the purchase of merchandise or other goods) and/or the Katalyst Training Services (including through participation in the Signup Process) following the earliest to occur of (a) our transmission of an email notification to you, where applicable, or (b) the posting of revised Terms of Use means that you accept and agree to the changes. You are expected to check this page each time you access this Website, use the Katalyst Training Services or purchase merchandise or other goods from us through the Website so you are aware of any changes, as they are binding on you.

Accessing the Website and the Katalyst Training Services; Account Security

We reserve the right to withdraw, amend and/or discontinue the Website, Katalyst Training Services, and/or any service or material we provide on or through the Website (including the sale of merchandise or other goods), in our sole discretion without notice. Subject to the terms of any Additional Terms of Purchase, we will not be liable if for any reason all or any part of the Website or the Katalyst Training Services are unavailable at any time or for any period, and, to the extent you have made any payments to the Company pursuant to the terms of any Additional Terms of Purchase, you will not be entitled to any refund from the Company. From time to time, in our sole discretion, we may restrict access to some parts of the Website, the entire Website, or limit or discontinue the availability of the Katalyst Training Services with respect to certain geographic areas or individuals.

You are responsible for:

  • Making all arrangements necessary for you to have access to the Website.
  • Ensuring that all persons who access the Website through your internet connection are aware of the Terms of Use and comply with them.
  • Making all arrangements necessary for you to use the Katalyst Training Services (including completion of the Signup Process).

As a precondition to your use of the Katalyst Training Services and access to certain features of the Website, in addition to any other conditions imposed by Additional Terms of Purchase or the Terms of Use, you will be required to provide certain registration details or other information. IT IS A CONDITION OF YOUR USE OF THE WEBSITE AND KATALYST TRAINING SERVICES THAT ALL THE INFORMATION YOU PROVIDE TO US, WHETHER THROUGH THE WEBSITE, THE SIGNUP PROCESS OR OTHERWISE, IS CORRECT, CURRENT, AND COMPLETE. You agree that all information you provide to us is governed by the Privacy Policy, and you consent to all actions we take with respect to your information consistent with our Privacy Policy.

If you choose, or are provided with, a user name, password, or any other piece of information as part of our security procedures, you must treat such information as confidential, and you must not disclose it to any other person or entity. You also acknowledge that your account is personal to you and agree not to provide any other person with access to the Website, the Katalyst Training Services or any portion thereof using your user name, password, or other security information. You must notify us immediately of any unauthorized access to or use of your user name or password or any other breach of security. If using a public computer or any other computer that is accessible to multiple users, you (a) agree to ensure that (1) you exit from your account at the end of each session and (2) disable any “remember me” functions that store your user name and password for future sessions and (b) acknowledge that you should use particular caution when accessing your account from a public or shared computer so that others are not able to view or record your password or other personal information.

We have the right to disable any user name, password, or other identifier, whether chosen by you or provided by us, at any time in our sole discretion for any or no reason, including if, in our opinion, you have violated any provision of these Terms of Use or any applicable Additional Terms of Purchase.

Intellectual Property Rights

The Website and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof), Katalyst Training Services, the Waiver, and designs of any merchandise or other goods sold through the Website or otherwise are owned by the Company, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws. Information contained in the Health-Related Materials is made available by third parties and may be subject to such third parties’ terms of use or other conditions. You agree to abide by any applicable restrictions imposed by third parties with respect to the use of Health-Related Materials.

The Terms of Use permit you to use the Website and the Katalyst Training Services (including related documentation such as the Waiver prepared by us and furnished to you) for your personal, non-commercial use only. You must not reproduce, distribute, modify, reverse engineer, disassemble, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Website or the Katalyst Training Services except as follows:

  • Your computer may temporarily store copies of the Website in RAM incidental to your accessing and viewing those materials.
  • You may store files that are automatically cached by your Web browser for display enhancement purposes.
  • You may print or download one copy of a reasonable number of pages of the Website for your own personal, non-commercial use and not for further reproduction, publication, or distribution to or for the benefit of any third party.
  • You may store data, if any, provided by us to you pertaining to your training sessions or your individual use of the Katalyst Training Services (collectively, the “Session Data”).

You must not:

  • Modify copies of any materials from the Website or furnished to you by us in connection with the provision of the Katalyst Training Services (such as the Waiver) or any Health-Related Materials.
  • Use any illustrations, photographs, video or audio sequences, or any graphics separately from the accompanying text.
  • Attempt to reverse engineer or disassemble the Katalyst Training Services.
  • Create derivative works or modify information transmitted to you by the Company (including Session Data) in connection with the Katalyst Training Services, other than for your own personal use in tracking your fitness goals.
  • Delete or alter any copyright, trademark, or other proprietary rights notices from copies of materials from the Website, any Health-Related Materials, or any Session Data.
  • You must not access or use for any commercial purposes (a) any part of the Website or any services or materials available through the Website, (b) the Health-Related Materials, (c) the Katalyst Training Services or (d) the Session Data.

If you wish to make any use of (a) material on the Website, (b) the Katalyst Training Services (including related documentation such as the Waiver prepared by us and furnished to you), or (c) the Session Data, other than that set out in this section or, where applicable, in contravention of any Additional Terms of Purchase, please seek our permission by contacting us using the contact information provided under the heading “Your Comments and Concerns” below.

If you print, copy, modify, download, or otherwise use or provide any other person with access to any part of the Website, the Session Data or the Katalyst Training Services (including related documentation such as the Waiver prepared by us and furnished to you) in breach of the Terms of Use, your right to use the Website and/or Katalyst Training Services will stop immediately and you must, at our option, return or destroy any copies of the materials you have made. No right, title, or interest in or to (a) the Website or any content on the Website, (b) the Health-Related Materials, (c) the Katalyst Training Services (including related documentation such as the Waiver prepared by us and furnished to you), or, except as otherwise provided, (d) the Session Data is transferred to you, and all rights not expressly granted are reserved by the Company or, as applicable, certain third parties. Any use of the Website, the Health-Related Materials, the Katalyst Training Services and/or the Session Data not expressly permitted by these Terms of Use is a breach of these Terms of Use and may violate copyright, trademark, patent and other laws.

Trademarks

The Company name, the term “Katalyst”, the term “Katalyst Fitness,” the term “Katalyst Training”, and all related names, logos, product and service names, designs, and slogans are trademarks of the Company or its affiliates or licensors. You must not use such marks without the prior written permission of the Company. All other names, logos, product and service names, designs, and slogans on the Website are the trademarks of their respective owners.

Prohibited Uses

You may use the Website, the Health-Related Materials, the Katalyst Training Services (including related documentation such as the Waiver prepared by us and furnished to you) and the Session Data only for lawful purposes and in accordance with these Terms of Use. You agree not to use any of the foregoing:

  • In any way that violates any applicable federal, state, local, or international law or regulation (including, without limitation, any laws regarding the export of data or software to and from the US or other countries).
  • For the purpose of exploiting, harming, or attempting to exploit or harm minors in any way by exposing them to inappropriate content, asking for personally identifiable information, or otherwise.
  • To transmit, or procure the sending of, any advertising or promotional material, including any “junk mail”, “chain letter”, “spam”, or any other similar solicitation.
  • To impersonate or attempt to impersonate the Company, a Company employee, another user, or any other person or entity (including, without limitation, by using email addresses or screen names associated with any of the foregoing).
  • To engage in any other conduct that restricts or inhibits anyone’s use or enjoyment of the Website or the Katalyst Training Services, or which, as determined by us, may harm the Company or users of the Website or Katalyst Training Services or expose them to liability.
  • To claim certification, qualification or expertise with respect to electric muscle stimulation, fitness training, or the Katalyst Training Services.

Additionally, you agree not to:

  • Use the Website in any manner that could disable, overburden, damage, or impair the site or interfere with any other party’s use of the Website, including their ability to engage in real-time activities through the Website.
  • Disobey the instructions, whether written or oral, of any staff member or trainer affiliated with the Company in the course of using the Katalyst Training Services.
  • Use any robot, spider, or other automatic device, process, or means to access the Website for any purpose, including monitoring or copying any of the material on the Website.
  • Use any manual process to monitor or copy any of the material on the Website or for any other unauthorized purpose without our prior written consent.
  • Use any device, software, or routine that interferes with the proper working of the Website.
  • Introduce any viruses, trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful.
  • Attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Website, the server on which the Website is stored, or any server, computer, or database connected to the Website.
  • Attack the Website via a denial-of-service attack or a distributed denial-of-service attack.
  • Aggregate your Session Data with the Session Data of other users of the Katalyst Training Services.

The Health-Related Materials, the information presented on or through the Website, and other informational materials furnished to you in connection with your use of the Katalyst Training Services is made available solely for general information purposes. We do not warrant the accuracy, completeness, or usefulness of this information. The Session Data, if any, made available to you is solely for your personal use in tracking progress toward your own goals. Any reliance you place on any such information is strictly at your own risk. We disclaim all liability and responsibility arising from any reliance placed on such materials by you or any other visitor to the Website or any use of the Katalyst Training Services, or by anyone who may be informed of any of the contents of such information.

The Website and Health-Related Materials include content provided by third parties, including materials provided by bloggers, government agencies and third-party licensors, syndicators, aggregators, and/or reporting services. All statements and/or opinions expressed in these materials, and all articles and responses to questions and other content, other than the content provided by the Company, are solely the opinions and the responsibility of the person or entity providing those materials. THE FOREGOING DOES NOT AFFECT ANY LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

Indemnification

You agree to defend, indemnify, and hold harmless the Company, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to your violation of these Terms of Use (including as a result of your failure to provide us current, correct and complete information as part of the Signup Process pursuant to the terms under the heading “Accessing the Website and the Katalyst Training Services; Account Security”) or your use of the Website, including, but not limited to any use of the Website’s content, services, and products, OR the Katalyst Training Services other than as expressly authorized in these Terms of Use or, as applicable, the Additional Terms of Purchase, or your use of any information obtained from the Website.

Governing Law and Jurisdiction

All matters relating to the Website, the Katalyst Training Services, Session Data, if any, the Terms of Use (including, for the avoidance of doubt, the Waiver, the Privacy Policy and any Additional Terms of Purchase) and any dispute or claim arising therefrom or related thereto (in each case, including non-contractual disputes or claims), shall be governed by and construed in accordance with the laws of the State of Washington without giving effect to any choice or conflict of law provision or rule (whether of the State of Washington or any other jurisdiction).

Any legal suit, action, or proceeding arising out of, or related to, the Website, the Katalyst Training Services, Session Data, if any, or the Terms of Use (including, for the avoidance of doubt, the Waiver, the Health-Related Materials, the Privacy Policy and any Additional Terms of Purchase) shall be instituted exclusively in the federal courts of the United States or the courts of the State of Washington in each case located in the City of Seattle and County of King. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.

Arbitration

At Company’s sole discretion, it may require you to submit any disputes arising from the use of these Terms of Use or the Website, including disputes arising from or concerning their interpretation, violation, invalidity, non-performance, or termination, to final and binding arbitration under the Rules of Arbitration of the American Arbitration Association applying Washington law.

Limitation on Time to File Claims

ANY CAUSE OF ACTION OR CLAIM YOU MAY HAVE ARISING OUT OF OR RELATING TO THESE TERMS OF USE, THE WEBSITE, THE HEALTH-RELATED MATERIALS, THE KATALYST TRAINING SERVICES, THE SESSION DATA, IF ANY, OR ANY APPLICABLE ADDITIONAL TERMS OF PURCHASE MUST BE COMMENCED WITHIN ONE YEAR AFTER THE CAUSE OF ACTION ACCRUES, OTHERWISE, SUCH CAUSE OF ACTION OR CLAIM IS PERMANENTLY BARRED.

Waiver and Severability

No waiver of by the Company of any term or condition set out in these Terms of Use (including, for the avoidance of doubt, the Waiver, the Privacy Policy and any Additional Terms of Purchase) shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of the Company to assert a right or provision under these Terms of Use shall not constitute a waiver of such right or provision.

If any provision of the Terms of Use is held by a court or other tribunal of competent jurisdiction to be invalid, illegal or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms of Use will continue in full force and effect.

Entire Agreement

The Terms of Use, the Privacy Policy, the Waiver and, as applicable, any Additional Terms of Purchase constitute the sole and entire agreement between you and the Company regarding the Website and the Katalyst Training Services and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Website and/or the Katalyst Training Services.

Order of Precedence
